In a "business divorce," Entwistle & Cappucci won summary judgment on behalf of two limited partners winding up a partnership and distributing its assets. Entwistle & Cappucci persuaded the Court to apply distribution provisions in the limited partnership agreement, rather than those provisions contained in the partnership certificate. Over the opposition of other limited partners, the Court construed provisions of the New York Partnership Law to give effect to the partners' original intent and longstanding course of conduct.
