Endico v. Fonte (S.D.N.Y.)
Business divorces are just one of the many types of commercial disputes E&C litigates on a regular basis. In this case, one member of a limited liability company sued E&C’s clients, alleging that they had fraudulently induced him into selling them membership interests in the company. E&C obtained the dismissal of the case from federal court, arguing successfully that the interests in a closely-held limited liability company are not “securities” under federal securities laws.
